1. Legal Entity & Introduction

FACILINK is a brand owned and operated by Bhawish Technologies Private Limited (“Company,” “we,” “us,” or “our”).

These Terms & Conditions (“Terms”) govern access to and use of the FACILINK platform (“Platform”). By accessing or using the Platform, you agree to be legally bound by these Terms.

If you do not agree, you must not use the Platform.

2. Nature of the Platform (Marketplace Model)

FACILINK is a technology-enabled marketplace that connects independent buyers, sellers, service providers and jobseekers within the facility management ecosystem.

FACILINK:

• Does not manufacture, sell, resell or supply any products
• Does not provide facility management services
• Is not an agent, contractor, distributor or partner of any seller
• Is not a party to any contract between users

All transactions are strictly between buyer and seller.

3. User Eligibility

You represent that:

• You are legally competent to enter into binding contracts under Indian law
• All information provided is accurate and complete
• You will use the Platform only for lawful purposes

FACILINK reserves the right to suspend or terminate accounts at its sole discretion.

4. Listings and Content Submission

4.1 Business Listings

Businesses listed in our directory must comply with applicable laws and regulations. You are solely responsible for the accuracy and legality of your listing. We reserve the right to remove or modify any listing that we determine violates these Terms or is otherwise inappropriate.

4.2 User Content

By submitting content to the Service (such as reviews, comments or business details), you grant us a non-exclusive, worldwide, royalty-free license to use, display and modify that content for the purpose of providing the Service.

4.3 Listing Approval

We reserve the right to review and approve or reject any business listing. We are not obligated to provide reasons for rejection. You may request reconsideration, but we retain final authority.

5. Seller Responsibilities

Sellers are solely responsible for:

• Accuracy of listings
• Product/service quality
• Pricing and taxes
• Compliance with applicable laws and licenses
• Delivery, installation, warranties, and after-sales service
• Handling disputes and customer complaints

FACILINK does not guarantee or endorse any seller, even if marked as “verified” or “featured.”

Any onboarding checks conducted by FACILINK do not constitute certification or approval.

6. Buyer Responsibilities

• Conducting independent due diligence
• Reviewing seller credentials
• Verifying pricing, scope and contractual terms
• Ensuring payment arrangements are secure

FACILINK does not guarantee product suitability, service quality or performance outcomes.

7. Platform Fees & Commission

FACILINK may charge sellers:

• Commission on closed transactions
• Subscription fees
• Listing fees
• Lead generation fees
• Promotional charges

All fees are consideration for access to the Platform and related services and do not make FACILINK a party to the underlying transaction.

8. Payments

FACILINK may integrate third-party payment gateways.

• Does not hold funds on behalf of users unless explicitly stated
• Does not guarantee payment collection
• Is not responsible for refunds, chargebacks or failed transactions

Payment disputes must be resolved between buyer and seller.

9. No Warranty

The Platform is provided on an “as-is” and “as-available” basis.

FACILINK makes no representations or warranties regarding:

• Accuracy of listings
• Reliability of sellers
• Service outcomes
• Continuous or error-free access

10. Limitation of Liability

To the fullest extent permitted under Indian law, FACILINK shall not be liable for:

• Direct or indirect losses
• Business interruption
• Loss of profits, revenue or data
• Product defects
• Service failures
• Contract breaches between users

In any event, FACILINK’s total liability shall not exceed the total platform fees paid in the preceding three (3) months.

11. Indemnification

You agree to indemnify and hold harmless FACILINK, its directors, employees and affiliates from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the Platform
• Your transactions
• Your breach of these Terms
• Violation of applicable laws

12. Dispute Resolution

Any dispute involving FACILINK shall be:

• Governed by the laws of India
• Subject to exclusive jurisdiction of courts in Mumbai, Maharashtra
• Subject to arbitration under the Arbitration and Conciliation Act, 1996, with Mumbai as the seat

13. Suspension & Termination

FACILINK may suspend or terminate accounts for policy violations, fraudulent activity, misrepresentation, or non-payment of fees.

14. Intellectual Property

All Platform content, branding, logos, design elements and software are the exclusive property of FACILINK. Unauthorized use is prohibited.

15. Force Majeure

FACILINK shall not be liable for failure or delay caused by events beyond reasonable control including natural disasters, cyberattacks, internet outages or government actions.

16. Modifications

FACILINK may update these Terms at any time. Continued use constitutes acceptance of revised Terms.
